Regulation No. (44) for 2003

 

Administrative Organization of the

 

Companies Supervision Department Regulation¨

 

Article (1):

This Regulation shall be called (Administrative Organization of the Companies Supervision Department Regulation for 2003) and shall come into force as of its publication in the Official Gazette.

 

Article (2):

The following words wherever used in this Regulation, shall have the meanings hereunder assigned to them, unless the context otherwise provides:

The Minister:         Minister of Industry and Trade.

Department:          Companies supervision department.

The Controller:     The companies general controller.

The Directorate: Any directorate in the Department.

The Committee:   The planning committee in the Department.

 

Article (3):

The organizational framework of the Department shall be formed of the following:

 

a) The Controller.

 

b) The following Directorates:

1.         Directorate of Administrative and Financial Matters.

2.         Directorate of Registration and Assistance Services.

3.         Directorate of Legal Matters.

4.         Directorate of Financial Control.

5.         Directorate of Foreign Companies.

6.         Directorate of Research and Computer.

c) The following units:

1.         Investment and Foreign Relations Unit.

2.         Internal Supervision Unit.

d) The Minister may, upon the recommendation of the Controller, appoint an assistant or more for same shall the requirements of work necessitate that.

 

Article (4):

a) The Controller is attached to the Minister and shall be responsible for the implementation of the duties of the Department and the good management of the work therein.

 

b) The Controller shall be attached to each of the following:

1.         The assistances.

2.         The consultants and experts.

3.         Manager of Directorates.

c) It shall be permissible to attach any of the managers of Directorates and the heads of units to any of the assistants of the Controller in accordance with the instructions issued by the Controller for such purpose.

 

Article (5):

a) A committee called the (Planning Committee) shall be formed in the Department. It shall be headed by the Controller or the person delegated by same from amongst the members of the Committee, and the membership of:

1.         Assistants.

2.         Managers of the Directorates.

3.         The consultant or expert named by the Controller.

4.         One unit head or more named by the Controller.

b) The Committee shall undertake the examination of the following matters and shall present the Minister with recommendations to (enable same) to take the necessary decisions in their regard:

1.         Plans and programs related to the work of the Department and periodic follow-up on their implementation and evaluation in a manner that guarantees the efficient achievement of their aims.

2.         Draft of training and qualification programs for the Employees of the Department.

3.         Organizational framework of the Department and the correlation of the Directorates, units and divisions.

4.         Annual balance sheet draft of the Department and the lists of job arrangements therein.

5.         Drafts of laws, regulations and instructions related to the work of the Department.

6.         Any other matters referred by the Controller thereon.

 

Article (6):

a) The Committee shall convene by invitation of its president at least once a month. The legal quorum of its meetings shall be formed by the presence of not less than a majority of its members provided that the president or his delegate is amongst same. It shall issue its recommendations by the majority of the votes of its present members at least.

 

b) The president of the Committee may invite any of the consultants or any Department Employee or any foreign person to participate in its meetings so as to take his opinion into consideration without same having the right to vote.

 

c) The Controller shall name an Employee of the Department as the secretary-general of the Committee to undertake the preparation of its work lists, record its meetings and recommendations, follow-up on its implementation and maintain its documents and correspondence.

 

Article (7):

a) The Minister may upon the suggestion of the Controller that is based on the recommendation of the Committee:

1.         Institute any Directorate or unit in the Department, merger same with another or cancel.

2.         Institute any Department branch or office in the Kingdom, merger same with another or cancel.

b) The Controller may, upon the recommendation of the Committee, institute any division or office in the Directorates or units, merge same with another or cancel.

 

Article (8):

The Controller may, if the need arises, form specialized committees to examine specified matters that are delegated it by same and present its recommendations thereto in order to take the necessary decisions in their regard.

 

Article (9):

The Minister shall issue, upon the recommendation of the Controller, the necessary instructions to implement the provisions of this Regulation, including the following:

 

a) Specify the duties and responsibilities of the Directorates, units, branches, offices and divisions.

 

b) Describe the duties of the Employees of the Department.

 

c) Determine the relationship and communication and coordination methods between the Directorates and the remaining units and divisions.
